Terms and Conditions

Please read these Terms carefully before using the Pondari platform. By creating an account or otherwise using the Service, you confirm that you accept these Terms and that you agree to comply with them.

Introduction

These Terms and Conditions ("Terms") form a legal agreement between you and Pondari ("Pondari", "we", "us", or "our") and govern your access to and use of the Pondari web application, websites, and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

The Service

Pondari is a productivity platform that pairs a Pomodoro-style focus timer with project tracking, reporting, and invoice-ready billing. We may add, change, or remove features at any time, and we may release beta or experimental features that are clearly marked as such.

Eligibility

You must be at least 13 years old (or 16 years old in the EU) and legally able to enter into a binding contract to use the Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that takes place under your account. Notify us promptly at hello@pondari.app if you suspect any unauthorised use of your account.

You agree to provide accurate information when signing up and to keep your account information current.

Plans and subscriptions

The Service is offered with a free tier and one or more paid plans. Paid plans are billed in advance on a recurring basis through our payment processor. Prices, features, and plan limits are described in the app and may change with reasonable notice.

Unless stated otherwise, subscriptions renew automatically at the end of each billing cycle. You can cancel a paid plan at any time from your account settings; cancellation takes effect at the end of the current billing period.

Billing and refunds

Subscription fees are non-refundable except where required by law. If a charge is made in error or you experience a serious issue with the Service, contact us and we will work in good faith to resolve it, which may include issuing a partial or full refund at our discretion.

You are responsible for any taxes, duties, or fees imposed by your local jurisdiction on your subscription, unless we are required to collect them on your behalf.

Free trials and promotions

We may offer free trials or promotional discounts. Unless we say otherwise, free trials convert to a paid subscription at the end of the trial period using the payment method on file. You can cancel before the trial ends to avoid being charged.

Your content

You retain all rights to the content you create or upload to the Service — your projects, tasks, notes, sessions, and reports ("Your Content"). You grant Pondari a limited, worldwide, non-exclusive licence to host, store, and process Your Content solely to operate and improve the Service for you.

You are responsible for Your Content and for ensuring that you have the rights necessary to upload and use it within the Service.

Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or third-party right.
  • Attempt to access accounts, data, or systems that you are not authorised to access.
  • Probe, scan, or test the vulnerability of the Service, or interfere with its security features.
  • Reverse engineer, scrape, or copy the Service or its features except as permitted by law.
  • Use the Service to send spam, malware, or other harmful content.
  • Resell or sublicense access to the Service without our written permission.

We may suspend or terminate accounts that breach these rules, immediately and without prior notice if the breach is serious.

Fair use and limits

The Service is designed for individual focus and small-team use. We may apply reasonable limits on storage, API calls, and automated activity to keep the Service fast and reliable for everyone. If your usage is unusually heavy, we may contact you to discuss an appropriate plan.

Third-party services

The Service may integrate with third-party tools (for example, calendar, payment, or analytics providers). Your use of those tools is subject to their own terms and privacy practices. We are not responsible for the availability or behaviour of any third-party service.

Our intellectual property

The Service, including its software, design, branding, and documentation, is owned by Pondari and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. No other rights are granted by implication.

Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve the Service, without any obligation to you.

Availability

We work hard to keep the Service running smoothly, but we do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or reasons outside our control.

Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, Pondari will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with the Service.

Our total liability to you for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD 50.

Indemnification

You agree to indemnify and hold harmless Pondari and its officers, employees, and contractors from any claim or demand, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Service, or Your Content.

Termination

You can stop using the Service and delete your account at any time from your settings. We may suspend or terminate your access if you materially breach these Terms or if we are required to do so by law.

On termination, your right to use the Service ends. Sections that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "last updated" date and, where appropriate, notify you in-app or by email. If you continue to use the Service after the changes take effect, you accept the updated Terms.

Governing law

These Terms are governed by the laws applicable to the place of Pondari's principal place of business, without regard to its conflict-of-laws rules. You and Pondari agree to submit to the exclusive jurisdiction of the courts of that place to resolve any dispute arising under these Terms, except where mandatory consumer protection law gives you the right to bring proceedings in your country of residence.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Entire agreement

These Terms, together with the Privacy Policy and any plan-specific terms presented at sign-up, are the entire agreement between you and Pondari regarding the Service and supersede any prior agreements.
